Kalia Terms of Service

1. Acceptance of Terms

By accessing, downloading, installing, or using our Service, you confirm that you can form a binding contract with Voicemix, that you accept these Terms, and that you agree to comply with them. If you do not agree to these Terms, you may not access or use the Service. Your access to and use of the Service is also subject to our Privacy Policy, which is incorporated herein by reference.

2. The Service

Kalia is a conversational personal assistant that uses artificial intelligence ("AI") to help you with various tasks. You may interact with the Service through text, voice, images, and other media that the Service may support.

2.1 AI-Generated Content:

The Service utilizes AI to generate responses and content ("AI Content"). You acknowledge that:

• a. AI Content is generated by algorithms and may not always be accurate, complete, reliable, or up-to-date.
• b. AI Content is provided for informational and entertainment purposes only and should not be considered as professional advice (e.g., medical, legal, financial, or any other professional advice). You should consult with a qualified professional for any such advice.
• c. Voicemix makes no warranties or representations regarding the accuracy, suitability, or quality of AI Content. You are solely responsible for your use of and reliance on any AI Content.

3. Eligibility and Age Requirement

You must be at least 18 years old to create an account and use the Service. If you are between the ages of 13 and 17 (or the age of legal majority in your jurisdiction if different), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf, and assumes full responsibility for your use of the Service. The Service is not intended for and may not be used by children under 13.

4. User Accounts

To use certain features of the Service, you must create an account, for example, via Google Sign-In or by providing an email and password. You agree to:

• a. Provide accurate, current, and complete information during the registration process and keep your account information updated.
• b. Safeguard your account credentials (e.g., password) and not share them with any third party.
• c. Be solely responsible for all activities that occur under your account, whether or not you have authorized such activities.
• d. Notify us immediately of any unauthorized use of your account.

5. License to Use the Service

Subject to your compliance with these Terms, Voicemix grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use on devices that you own or control.

6. User Conduct and Restrictions

You are solely responsible for your conduct while using the Service and for any data, text, information, images, videos, audio, or other materials ("User Content") that you submit, post, display, or otherwise make available through the Service. You agree not to:

• a. Use the Service for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms or any applicable law or regulation.
• b. Send spam, unsolicited messages, or bulk communications.
• c. Upload, share, or transmit User Content that is unlawful, harmful, threatening, abusive, defamatory, obscene, pornographic, violent, hateful, discriminatory, or otherwise objectionable.
• d. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• e. Interfere with or disrupt the integrity or performance of the Service, or the servers or networks connected to the Service.
• f. Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
• g. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service or any software, documentation, or data related to the Service.
• h. Use any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser.
• i. Use the Service to build a competitive product or service, or copy any features, functions, or graphics of the Service.
• j. Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
• k. Violate the intellectual property rights or any other rights of Voicemix or any third party.

We reserve the right, but are not obligated, to monitor User Content and your activity on the Service, and to remove any User Content, suspend, or terminate your account for any reason, including violations of these Terms, at our sole discretion and without prior notice.

7. User Content and Intellectual Property

Your Content:

You retain ownership of your User Content. However, by submitting, posting, or displaying User Content on or through the Service, you grant Voicemix a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content for the purpose of operating, providing, developing, and improving the Service and our AI models, and for researching and developing new products and services. This license continues even if you stop using our Service, primarily for the purpose of improving our AI models based on historical data, unless prohibited by applicable law or you explicitly request deletion in accordance with our Privacy Policy.

Our Service and Content:

All rights, title, and interest in and to the Service (excluding User Content), including all associated intellectual property rights (such as copyrights, trademarks, patents, trade secrets, and AI models), are and will remain the exclusive property of Voicemix Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Nothing in these Terms gives you a right to use the Voicemix or Kalia name or any of the Voicemix trademarks, logos, domain names, and other distinctive brand features.

Feedback:

If you provide Voicemix with any feedback, suggestions, ideas, improvements, or other information regarding the Service ("Feedback"), you hereby grant Voicemix a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, distribute, display, perform, and otherwise exploit such Feedback for any purpose, without any restriction or compensation to you.

8. Paid Services and Subscriptions (Future Possibility)

The Service, or certain features of the Service, may be offered free of charge or on a subscription basis, or may involve in-app purchases ("Paid Services"). We reserve the right to implement fees or change the fees for any part of the Service at any time. If we implement Paid Services, the specific terms applicable to such Paid Services (including payment terms, subscription auto-renewal, and cancellation policies) will be provided to you before you commit to them. We will provide you with advance notice of any pricing changes and give you the opportunity to review and accept the new terms before charges apply. All payments for Paid Services will be processed through third-party payment processors.

9. Third-Party Links and Services

The Service may contain links to third-party websites, applications, services, or resources that are not owned or controlled by Voicemix. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or service from the Service, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites.

10. Modifications to the Service

We are constantly changing and improving our Service. We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice, at any time. You agree that Voicemix will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

11. Termination

By You:

You may stop using our Service and terminate these Terms at any time by deactivating your account and ceasing all use of the Service.

By Us:

We reserve the right to suspend or terminate your access to the Service, or any part thereof, at any time, with or without cause, and with or without notice, for any reason, including, but not limited to, if we believe that you have violated these Terms.

Effect of Termination:

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.
